Conflict of Interest Policy

Decisions made on behalf of the mission must serve the mission — not the private interests of the people making them.

1. Who this policy covers

This policy applies to board members, officers, directors, employees, contractors, key volunteers, and anyone who participates in decisions about spending, hiring, vendor selection, program awards, or student and family selection.

2. What counts as a conflict

  • A financial interest in a vendor, contractor, landlord, clinic, school, or supplier being considered by the organization
  • Compensation, commissions, gifts, or favors from a party doing or seeking business with us
  • A family or household relationship with an employee, applicant, vendor, or beneficiary being selected
  • Serving in a leadership role at another organization competing for the same funds or partnership
  • Any situation where a reasonable person could conclude that personal benefit influenced a decision

3. Duty to disclose

A covered person must disclose an actual or potential conflict in writing as soon as it is known, and before any related discussion or vote. Disclosure is required even when the person believes the interest would not affect their judgment.

4. Recusal and decision process

  • The interested person presents facts and answers questions, then leaves the discussion and does not vote
  • Remaining decision-makers determine whether a conflict exists and whether a more advantageous arrangement is reasonably available
  • The decision, the disclosure, and the recusal are recorded in the minutes
  • An interested person may not pressure, lobby, or direct staff regarding the matter outside the formal process

5. Related-party transactions

A transaction with a related party may proceed only if it is fair to the organization, approved by disinterested decision-makers, documented in writing, and disclosed in financial reporting where required.

6. Gifts, hospitality, and honoraria

Covered persons may not accept cash, cash equivalents, or gifts of more than nominal value from vendors, contractors, or grant applicants. Ordinary courtesy meals and mission-related travel arranged by a partner church or institution are permitted if disclosed.

7. Annual certification

Each board member, officer, employee, and key volunteer signs an annual statement affirming that they have read this policy, understand it, and have disclosed any interests that may create a conflict.

8. Violations

Failure to disclose may result in reversal of the transaction, removal from a decision-making role, termination of employment or volunteer service, and, where warranted, referral to the appropriate authorities.

9. Reporting a concern

Concerns may be reported confidentially to info@unityreachglobal.org or 954-554-0525. Good-faith reporters are protected from retaliation, and reports may be escalated to Sapibon Foundation leadership when a concern involves UnityReach Global staff.
